What is a Texas Registered Agent?
Texas registered agents act as a legal point of contact for your businesses in Texas. Every Limited Liability Company (LLC), corporation, nonprofit and other legally formed business entity in Texas must appoint one on their formation documents. The Texas Registered Agent must have a physical street address in Texas and must agree in writing to serve as a Texas Registered Agent.
Texas Business Organizations Code (“BOC”), Section 5.201(b)
Section 5.201(b) of the Texas Business Organizations Code (“BOC”) requires every domestic or foreign filing entity to maintain a Texas Registered Agent with a physical office in Texas. The BOC also permits the filing of an appointment of agent for service of process by an unincorporated nonprofit association. Additionally, the Texas Finance Code permits a Texas financial institution to appoint an agent for service of process.
An entity’s Texas Registered Agent is an agent of the entity on whom may be served any process, notice, or demand required or permitted by law to be served on the entity.
Texas Admin. Code § 79.29
Texas Admin. Code § 79.29 further requires that registered agents designated on or after January 1, 2010 must have consented to serve in that capacity in a written or electronic form developed by the Office of the Secretary of State.
In other words, a Texas Registered Agent acts as the legal point of contact for businesses in Texas, and every LLC, corporation, nonprofit and legally formed business entity in Texas must appoint one on their formation documents.
