Texas Registered Agent definition and requirement

What is a Texas Registered Agent?

Texas registered agents act as a legal point of contact for your businesses in Texas.  Every Limited Liability Company (LLC), corporation, nonprofit and other legally formed business entity in Texas must appoint one on their formation documents. The Texas Registered Agent must have a physical street address in Texas and must agree in writing to serve as a Texas Registered Agent.

Texas Business Organizations Code (“BOC”), Section 5.201(b)

Section 5.201(b) of the Texas Business Organizations Code (“BOC”) requires every domestic or foreign filing entity to maintain a Texas Registered Agent with a physical office in Texas. The BOC also permits the filing of an appointment of agent for service of process by an unincorporated nonprofit association. Additionally, the Texas Finance Code permits a Texas financial institution to appoint an agent for service of process.

An entity’s Texas Registered Agent is an agent of the entity on whom may be served any process, notice, or demand required or permitted by law to be served on the entity. 

Texas Admin. Code § 79.29

Texas Admin. Code § 79.29 further requires that registered agents designated on or after January 1, 2010 must have consented to serve in that capacity in a written or electronic form developed by the Office of the Secretary of State. 

In other words, a Texas Registered Agent acts as the legal point of contact for businesses in Texas, and every LLC, corporation, nonprofit and legally formed business entity in Texas must appoint one on their formation documents.

As stated above, your Texas Registered Agent must have a physical street address in Texas. A post office box is not acceptable, based on the law.  If you are starting a LLC, corporation, nonprofit in Texas, part of the benefit, is to protect your assets by creating a legal separation between your company and personal entity. Having a Texas Registered Agent helps create that separation. 

Pro-Advice's Texas Registered Agent service is physically located in Edinburg, Texas.

Our prices are simple and transparent.  Our Texas Registered Agent Services service fee is:

1. $75.00 USD per year of service. Plus Tax
2. You are paying for the upcoming year of service.
3. The next due date, will be following year, on the anniversary of your first payment.
4. One year from now, you will be billed for the current price at the time your renew.
5. To secure the current price, you have the choice to either pay for up to 5 years at the current rate ahead, or you can request to pay via annual automated subscription, up to 5 years.

NOTE:  Subscriptions DO NOT LOCK you into a mandatory contract. You can suspend the subscription at any time.  You only loose the ability to lock the price at that rate.

For the above price, our Texas Registered Agents will provide you the necessary documentation filled up and signed by us, our business contract (again, not one you cant get out of), but you file the documentation with the state and you are responsible for the filing fees from the State. 

Here is a short explanation of how our Texas Registered Agent Service process works:

3. Pay for either the first year, and be billed yearly, or pay for up to 5 years, securing the current price.  (Remember, you can ask to enroll in a subscription) and be debited yearly, locking the rate for 5 years.
4. Once we receive payment and the form filled out, we will email you the forms you will need from us, our contract and instructions on how to file.
